Terms of Service

These terms are between ("we") and the practice that signs up for ("you"). By creating an account you agree to them on behalf of your practice.

1. The service

An online electronic health record for outpatient clinicians: scheduling, charting, clinical notes, billing and claims, payment posting and, where offered, e-prescribing through a certified third-party network. Features may change; we tell you ahead of any change that removes something you use.

2. Accounts and security

You decide who in your practice gets an account and what role they have, and you turn accounts off when people leave. Every user signs in with a password and an authenticator code and keeps them private. Tell us right away if you think an account has been misused.

3. Fees

New practices get a free trial. After it, the plan you choose is billed monthly in advance, plus each added clinician, through our payment processor. Fees don't include taxes. You can cancel any time; the plan runs to the end of the month you've paid for, and we don't refund partial months. We give 30 days' notice before a price change.

4. Your data

Your practice's records belong to you. We use them only to provide the service to you, as set out in the Business Associate Agreement, which is part of these terms. You can export everything at any time, free, including after you cancel. After cancellation your records stay readable and exportable for at least 90 days; we then delete them unless you ask us in writing to keep them longer. Keeping records for as long as the law requires is your responsibility.

5. Your clinical and billing responsibility

The service is a tool. It doesn't give medical advice, make clinical decisions or guarantee payment. You're responsible for your notes, diagnoses, codes, prescriptions and claims, including any AI-drafted text, which a clinician must read, correct and sign. Code suggestions and claim checks help you catch errors; they don't replace your judgment or a payer's rules.

6. Acceptable use

Don't use the service unlawfully, try to reach another practice's data, probe or disrupt the service, or resell it. We may suspend an account to stop a security threat or unlawful use, and we tell you why.

7. Third parties

Some features rely on others: cloud hosting, a clearinghouse for claims, an e-prescribing network, a payment processor. Each one that handles health information is bound by a business associate agreement with us.

8. Availability

We aim for the service to be available around the clock and back up your data every day. We schedule maintenance outside business hours where we can, and we don't promise the service will never be interrupted.

9. Warranties and liability

Except as these terms say, the service is provided as is. To the extent the law allows, neither party is liable for indirect or consequential damages, and our total liability is limited to the fees you paid in the 12 months before the claim. These limits don't apply to a party's breach of the Business Associate Agreement caused by its gross negligence or willful misconduct.

10. Changes and law

We give at least 30 days' notice of material changes to these terms. Texas law governs them.
